The Kingdom of Saudi Arabia is witnessing a trend toward developing trade and the economy through mergers or acquisitions in various sectors, adding qualitative value to what has been established by both the public and private sectors. This process requires the preparation of legal studies and reports for conducting comprehensive due diligence, as well as drafting the agreed contractual frameworks, in accordance with applicable regulations such as the Competition Law issued by Royal Decree No. (M/75) dated 29/06/1440 AH, Cabinet Decision No. (372) dated 28/06/1440 AH, the Companies Law issued by Royal Decree No. (M/132) dated 01/12/1443 AH, and Cabinet Decision No. (678) dated 29/11/1443 AH. We are honored to highlight some of our contributions in this regard as follows:

Leading a client’s investment expansion by structuring the merger of a Saudi food brand, valued at over SAR 400 million.

Completing an acquisition for a client in the agricultural sector in line with Environmental, Social, and Governance (ESG) standards and food security goals, for the production of certain key crops, with a value exceeding SAR 100 million.

Completing an acquisition of a company in the mining sector valued at SAR 20 million.

Drafting a share purchase agreement to facilitate the acquisition by a publicly listed company in the Saudi market of regional companies specializing in cement production, with a total value exceeding USD 180 million.

Providing legal support for the acquisition of a food sector company holding franchise rights for a brand with over 150 branches in the Kingdom of Saudi Arabia, in coordination with the brand’s owner.

Acting as legal representative before relevant authorities in an M&A transaction involving the merger of two companies with a combined capital of SAR 18 million in the manufacturing and metal industries sector, including transferring industrial licenses and contracts, drafting partners’ resolutions, and coordinating with relevant authorities to ensure compliance with the Companies Law.

Acting as legal representative before relevant authorities in an M&A transaction involving the merger of two companies with a combined capital of SAR 30 million in the manufacturing sector for cocoa, chocolate, and confectionery products, owning an established brand in the Saudi market since 1404 AH (1984 CE). This included transferring trademarks, drafting partners’ and capital owner’s resolutions, and coordinating with relevant authorities to ensure compliance with the Companies Law.
